INVITEE TERMS

WHO THESE TERMS ARE FOR

These Invitee Terms ("Invitee Terms") apply to you if you book, reschedule, or cancel an appointment, or submit your details, through a booking page, booking widget, embedded form, or other customer-facing interface that is powered by Preb (together, the "Invitee Pages"). Preb is operated by Kranz & Gupta, Indiepal GbR, Brunnenstr. 11, 53123 Bonn, Germany ("Preb", "we", "us", "our").

The business or person who created the Invitee Page you are using (the "Organizer") is a customer of Preb. When you use an Invitee Page, you are arranging an appointment with the Organizer, not with Preb. Preb only provides the scheduling technology.

By using an Invitee Page you agree to these Invitee Terms. If you do not agree, please do not use the Invitee Page and contact the Organizer directly to arrange your appointment another way.

These Invitee Terms do not apply to Organizers and other registered users of Preb. Their relationship with us is governed by our Terms and Conditions and our Data Processing Agreement.

TABLE OF CONTENTS


1. DEFINITIONS

"Organizer" means the Preb customer (a business, team, or individual professional) that created and controls the Invitee Page you are using, including the hosts and team members assigned to your appointment.

"Invitee" or "you" means any person who visits or uses an Invitee Page, whether or not they complete a booking.

"Invitee Pages" means all Preb-powered surfaces shown to Invitees: public booking pages and workspace pages on preb.co and app.preb.co, booking widgets and forms embedded in the Organizer's website, booking confirmation, reschedule, and cancellation pages, and the booking-related emails and text messages sent on the Organizer's behalf.

"Booking Data" means the information you provide or that is generated when you use an Invitee Page, for example your name, email address, phone number, answers to the Organizer's questions, notes, additional guests, selected date and time, time zone, language, the referring campaign or advertisement (where present in the link you used), and the appointment itself.

2. YOUR RELATIONSHIP WITH THE ORGANIZER AND WITH PREB

The appointment is with the Organizer. Any appointment, consultation, call, demonstration, service, offer, price, follow-up, or other interaction you request or receive through an Invitee Page is provided by the Organizer. The Organizer alone decides who may book, which questions are asked, whether a booking is accepted or declined, whether your request meets its qualification criteria, and how it handles your appointment afterward. Preb is not a party to any agreement between you and the Organizer and does not act as the Organizer's agent.

What Preb does. Preb provides the software that displays the Organizer's availability, collects your details, creates the appointment in the Organizer's calendar, generates a video-conferencing link where the Organizer has connected one, and sends booking-related confirmations, reminders, and updates. Preb does not review, endorse, or take responsibility for the Organizer, its content, its products or services, or its compliance with laws that apply to it.

The Organizer's own terms. The Organizer may have its own terms of business, privacy policy, and legal notice. The Organizer can link them from its Invitee Page. Where they exist, they govern your relationship with the Organizer. Where they conflict with these Invitee Terms, these Invitee Terms govern only your use of Preb's technology, and the Organizer's terms govern everything else.

No fees to Preb. Preb does not charge you anything for using an Invitee Page. If the Organizer charges for its services, that is a matter between you and the Organizer, and Preb does not collect or process such payments.

3. ELIGIBILITY

You must be at least 16 years old to use an Invitee Page. If you are under the age of majority where you live, you may use an Invitee Page only with the consent of a parent or legal guardian where the law requires it. If we learn that Booking Data was submitted by a person under 16 without such consent, we will take reasonable steps to delete it and inform the Organizer.

If you use an Invitee Page on behalf of another person or a company, you confirm that you are authorized to do so and to provide their details.

4. USING INVITEE PAGES

When using an Invitee Page you agree to:
  • provide information that is true, accurate, and complete, and that belongs to you or to a person who has authorized you to provide it;
  • only book appointments you genuinely intend to attend, and to reschedule or cancel if you can no longer attend;
  • not book on behalf of others without their knowledge or permission, and not impersonate any person or organization;
  • not submit false, misleading, duplicate, or spam bookings, and not use automated tools (bots, scripts, scrapers) to access or submit data to Invitee Pages;
  • not upload or transmit unlawful, harassing, defamatory, obscene, or infringing content, malware, or links to such material;
  • not attempt to bypass rate limits or security measures, probe or interfere with Preb's systems, or access another person's booking, reschedule, or cancellation links; and
  • not use Invitee Pages for any purpose that is unlawful or that violates these Invitee Terms.
We may apply rate limits and may block, suspend, or remove bookings or access from a device, network, or address that we reasonably believe is abusive, automated, or in breach of these Invitee Terms. The Organizer may independently decline, cancel, or mark a booking as not qualified under its own rules.

5. BOOKINGS, RESCHEDULING, AND CANCELLATIONS

Confirmation. A booking is created when you complete the final step of the Invitee Page and see the confirmation screen. Where you provided an email address, you will normally also receive a confirmation email containing the appointment details, a calendar invitation, and any meeting link. The confirmation reflects the Organizer's availability at the time you booked. The Organizer remains free to accept, decline, move, or cancel the appointment in accordance with its own rules and any agreement between you and the Organizer.

Qualification steps. Some Organizers ask qualifying questions before offering a time. Depending on your answers, the Organizer's settings may show you a different message, route you to a different team member, or indicate that the Organizer cannot offer you an appointment. These outcomes are determined by rules configured by the Organizer, not by Preb.

Rescheduling and cancelling. Your confirmation email and, where applicable, your reminders contain personal links to reschedule or cancel your appointment. Keep these links private; anyone with the link can change your appointment. Organizers may restrict how close to the appointment you can still reschedule or cancel. If a link is no longer available, contact the Organizer directly.

Bookings made for you. An Organizer may create, move, or cancel an appointment on your behalf, for example after a phone call with you. You will receive the same confirmations and links as for a booking you made yourself. If you did not request such an appointment, please tell the Organizer or contact us at hello@preb.co.

Time zones. Times are shown in the time zone detected from your browser or selected by you. Please check the time zone shown on the confirmation screen and in your confirmation email.

6. EMAIL, TEXT MESSAGE, AND OTHER COMMUNICATIONS

Transactional messages. When you book, Preb sends booking-related messages on the Organizer's behalf: confirmations, calendar invitations, reminders, reschedule and cancellation notices, and follow-ups directly connected to your appointment. These messages are part of the booking you requested and are sent to the email address and, where you opted in, the phone number you provided. Emails are sent from a Preb address in the Organizer's name; replies go to the Organizer.

Text messages (SMS). You will only receive text messages if the Organizer has enabled them for the appointment type and you have ticked the separate SMS box on the Invitee Page, which is never pre-selected. Text messages are limited to booking confirmations, reminders, and reschedule or cancellation notices for your appointment. Message frequency depends on your booking activity. Message and data rates may apply. Consent to receive text messages is not a condition of booking. Where the sending number supports replies, you can reply STOP at any time to stop receiving messages and HELP for help. Where the sending number cannot receive replies (this is stated next to the SMS box), you can stop messages by cancelling the appointment or by contacting the Organizer or us.

Marketing. Preb does not send you marketing on its own behalf and does not use your Booking Data for its own advertising. Whether the Organizer may contact you for marketing purposes is governed by the law applicable to the Organizer and by any consent you have given the Organizer; Preb is not responsible for such communications. If you receive unwanted marketing from an Organizer, please contact the Organizer and, if you believe the Organizer is misusing Preb, let us know at hello@preb.co.

7. YOUR PERSONAL DATA

Who is responsible. The Organizer decides which information is collected on its Invitee Page and how it is used. For your Booking Data, the Organizer is the controller and Preb is the Organizer's processor within the meaning of Art. 4 and Art. 28 GDPR (or the equivalent roles under other applicable data protection law). Preb processes Booking Data only on the Organizer's instructions, does not sell it, and does not use it for its own marketing or advertising. Preb is an independent controller only for the limited technical data described in our Privacy Policy, for example security logs and cookie consent records.

What happens to your Booking Data. Your Booking Data is stored in the Organizer's Preb workspace, added to the Organizer's calendar and, where the Organizer has connected them, to the Organizer's video-conferencing tool, CRM, or notification tools (for example Google Calendar, Microsoft Outlook, Zoom, HubSpot, GoHighLevel, Pipedrive, Slack). The Organizer is responsible for those systems. Preb hosts Booking Data in the European Union (Germany).

Details saved before you submit. Organizers can choose to have the details you type into the first step of the booking form saved as you enter them, so that your booking is not lost if you are interrupted. Where an Organizer has enabled this, the Invitee Page says so directly above or below the form fields ("Your details are saved as you type"). In that case, information you have entered may be stored by the Organizer even if you do not complete the booking, and the Organizer may contact you about your incomplete booking. If you do not want this, do not enter your details on that page. Where the Organizer has not enabled this feature, your details are saved only when you submit the form.

Your rights. You have the rights granted by the data protection law that applies to you, which may include the right to access, correct, delete, or receive a copy of your personal data, to object to or restrict its processing, and to withdraw consent. Because the Organizer is the controller of your Booking Data, please direct these requests to the Organizer, whose contact details appear on its Invitee Page, its privacy policy, or your confirmation email. If you contact Preb instead, we will forward your request to the Organizer and support the Organizer in responding, as required by our agreement with the Organizer. We respond directly to requests about the data for which Preb is the controller. You may also lodge a complaint with a data protection supervisory authority.

Consent you give on the page. If the Invitee Page asks you to tick a consent box (for example, consent to be contacted, or the SMS box), Preb records the wording you agreed to and the time of your agreement on the Organizer's behalf, so that both you and the Organizer can rely on it later.

Our Privacy Policy describes Preb's processing in more detail, including the service providers we use and international transfers.

8. COOKIES AND TRACKING

Invitee Pages use the cookies and similar technologies that are strictly necessary to operate the page (for example, to remember your progress in the booking form and to protect against abuse). Any non-essential cookies or tracking, including advertising pixels or analytics the Organizer has connected to its Invitee Page (such as Meta or Google), are set only if you agree in the cookie banner shown on the Invitee Page or, where the Invitee Page is embedded in the Organizer's website, in the consent tool of that website. You can change or withdraw your choice at any time via the "Cookie settings" link on the Invitee Page or the Organizer's consent tool. Where your browser sends a Global Privacy Control signal, we honor it as an opt-out. Details are in our Cookie Policy.

The Organizer is responsible for any advertising or analytics tracking it chooses to connect to its Invitee Page and for any use it makes of the resulting data.

9. THIRD-PARTY SERVICES

Invitee Pages may contain links to, or generate details for, third-party services chosen by the Organizer, for example video-conferencing tools (Google Meet, Microsoft Teams, Zoom, Zoho Meeting), calendar invitations, phone calls, or in-person locations, as well as the Organizer's own website, privacy policy, and legal notice. Your use of any third-party service is governed by that provider's own terms and privacy policy. Preb does not control and is not responsible for third-party services or for content provided by the Organizer.

10. INTELLECTUAL PROPERTY

The Preb software, design, and trademarks used to provide Invitee Pages belong to Preb or its licensors. You may use Invitee Pages only to arrange appointments with the Organizer. You may not copy, modify, reverse engineer, frame, or otherwise exploit the Preb software or the "Powered by Preb" marks. The text, logos, images, and questions on an Invitee Page belong to the Organizer or its licensors, and the Organizer is responsible for them.

You keep all rights in the Booking Data you submit. You grant Preb only the right to process it as necessary to provide Invitee Pages to the Organizer and to you, as described in Section 7.

11. AVAILABILITY AND CHANGES TO INVITEE PAGES

We work to keep Invitee Pages available, but we cannot guarantee uninterrupted or error-free operation. Maintenance, outages of third-party providers, or the Organizer's own settings (for example, an unavailable calendar) may mean that no times are shown or that a booking cannot be completed. Invitee Pages are also unavailable when the Organizer deactivates them or ends its use of Preb. We may change or improve Invitee Pages at any time. If you cannot complete a booking, please contact the Organizer directly.

12. NO WARRANTY FOR THE ORGANIZER'S SERVICES

Preb provides Invitee Pages to you free of charge and as a technical service to the Organizer. To the extent permitted by law, Preb gives no warranty and makes no representation regarding the Organizer, the Organizer's identity, qualifications, availability, products, services, prices, statements, or conduct, regarding whether an appointment will take place or be honored, or regarding the accuracy of any content the Organizer has placed on its Invitee Page. Any claims relating to the appointment or the Organizer's services must be addressed to the Organizer.

Nothing in this Section limits statutory rights that cannot be excluded under the law that applies to you.

13. LIABILITY

Preb is liable without limitation for damage caused intentionally or by gross negligence, for injury to life, body, or health, under the German Product Liability Act (Produkthaftungsgesetz), and where Preb has fraudulently concealed a defect or assumed a guarantee.

In cases of ordinary negligence, Preb is liable only for breach of an essential obligation, meaning an obligation whose fulfillment is necessary to enable use of the Invitee Pages at all and on whose fulfillment you may reasonably rely. In such cases, Preb's liability is limited to the damage that is typical for this type of free scheduling service and foreseeable at the time of use. Preb's liability for the loss of data is limited to the cost of restoring the data from the backups that a careful user would have kept, where the data was yours to keep.

Preb is not liable for the acts or omissions of the Organizer, for the Organizer's failure to attend, provide, or honor an appointment, for the Organizer's use of your Booking Data outside Preb's instructions from the Organizer, or for the Organizer's communications with you. Preb's obligations regarding personal data under Art. 82 GDPR remain unaffected.

The above limitations also apply in favor of Preb's partners, employees, and agents. Mandatory consumer protection laws of the country in which you habitually reside remain unaffected.

14. CHANGES TO THESE INVITEE TERMS

We may update these Invitee Terms from time to time, for example to reflect new features or changes in law. The version in force is the one published at https://www.preb.co/invitee-terms at the time you use an Invitee Page, as shown by the "Last updated" date above. Each booking is governed by the version in force when you make it.

15. GOVERNING LAW AND DISPUTES

These Invitee Terms are governed by the laws of the Federal Republic of Germany, excluding the United Nations Convention on Contracts for the International Sale of Goods (CISG). If you are a consumer and habitually reside in another country, you also benefit from the mandatory consumer protection provisions of that country, and you may bring claims before the courts of that country. If you are a business, the courts of Bonn, Germany have exclusive jurisdiction.

Disputes about your appointment or the Organizer's services are between you and the Organizer and are governed by the law and forum applicable to your relationship with the Organizer.

Consumer dispute resolution (Section 36 VSBG). Preb is neither willing nor obliged to participate in dispute resolution proceedings before a consumer arbitration board.

16. MISCELLANEOUS

If any provision of these Invitee Terms is found to be invalid or unenforceable, the remaining provisions remain in effect. Our failure to enforce a provision is not a waiver of it. These Invitee Terms are available in English and in German (https://www.preb.co/de/invitee-terms). For Invitees habitually residing in Germany, the German version prevails; otherwise the English version prevails in case of conflict, unless mandatory law provides otherwise. Nothing in these Invitee Terms creates a partnership, agency, or employment relationship between you and Preb, or between Preb and the Organizer beyond that described in our Terms and Conditions.
